Welcome to UNART (the "Platform"), an online marketplace where independent artists can list and sell contemporary artwork—including street art, graffiti art, fan art, and more. By accessing or using the Platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please refrain from using the Platform.

1. Eligibility

  1. You must be at least 18 years old to register for an account or engage in any transactions on the Platform.
  2. By using the Platform, you represent and warrant that you meet the eligibility requirements and that all information you provide is accurate and complete.

2. Artist Participation and Sales Model

  1. UNART operates as a curated platform. Artists do not create user accounts. Instead, they send artwork photos and details directly to UNART, which handles all listing, promotion, sales, and shipping coordination.

  2. Artists agree to send the physical artwork to UNART prior to listing. UNART holds the artwork and manages sales and shipping.

  3. Artists grant UNART 30 days from the time of sale to ship the artwork.

  4. UNART commits to deliver artwork to buyers within:

    • 20 days from the order date for shipments within the EU.
    • 90 days from the order date for shipments outside the EU.

3. Commission and Payment Terms

  1. Commission Fee: UNART charges a commission fee of 15% on the final sale price of each artwork sold through the Platform. This fee is automatically deducted from the proceeds at the time of sale.
  2. Artist Payouts: The remaining 85% is paid to the artist within 10 business days of successful delivery to the buyer.
  3. Refunds and Disputes: In the event of a refund, the artist must accept the return of the artwork, and the refunded amount will be deducted from future payouts or reimbursed by the artist if already received.

4. Returns and Refunds

  1. Buyers may request returns within 7 days of receiving the artwork, provided the item is in its original condition.
  2. Return shipping is the responsibility of the buyer.
  3. Once received, UNART will return the artwork to the original artist.
  4. Artists agree to accept returned artwork and understand that UNART is not liable for refunds not resulting from platform error.

5. Shipping and Handling

  1. UNART manages all shipping and logistics.
  2. Artists must ensure their artwork is packed securely when sending it to UNART.
  3. In case of damage during storage or shipment by UNART, the artist will be informed immediately.

6. Risk, Insurance, and Damage Liability

  1. UNART will take reasonable care of all artwork stored and handled.
  2. UNART recommends that artists insure high-value artworks before shipping them to the Platform.
  3. UNART is not liable for damage caused by third-party couriers but will assist with claims when applicable.

7. Intellectual Property Rights

  1. Artists retain all intellectual property rights in their artwork.
  2. By submitting artwork to UNART, artists grant a non-exclusive, royalty-free license to use artwork images for marketing, sales, and promotional purposes.

8. Prohibited Content

  1. Artwork must not include illegal, hateful, violent, or plagiarized content.
  2. UNART reserves the right to reject or remove any artwork that violates these standards.

9. Disclaimer of Warranties

  1. The Platform is provided on an "as is" and "as available" basis. UNART disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. UNART does not guarantee the sale or visibility of any artwork listed on the Platform.

10. Limitation of Liability

  1. In no event shall UNART, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or revenue arising from your use of or inability to use the Platform.
  2. UNART’s total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by you, if any, to access or use the Platform.

11. Indemnification

You agree to indemnify, defend, and hold harmless UNART and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights.

12. Termination

  1. UNART reserves the right to suspend or terminate your account and access to the Platform at any time, without prior notice, for any reason, including violations of these Terms.
  2. Upon termination, your right to use the Platform will immediately cease, and you must promptly delete any materials obtained from the Platform. Unsold artwork will be returned to the artist within 30 days.

13. Governing Law and Dispute Resolution

  1. These Terms shall be governed by and construed in accordance with the laws of the United Kingdom.
  2. Any disputes arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
  3. You agree to submit to the personal jurisdiction of these courts for the purpose of litigating all such claims or disputes.

14. Changes to the Terms

  1. UNART reserves the right to modify or update these Terms at any time. Any changes will be posted on the Platform with an updated "Last Updated" date.
  2. Your continued use of the Platform following any changes constitutes your acceptance of the new Terms.

15. Notices

  1. All notices and communications regarding these Terms or the Platform must be sent via email to unart.shop@gmail.com or delivered to our mailing address provided on the website.
  2. Notices will be deemed received 48 hours after being sent if delivered by email.

16. Miscellaneous

  1. Entire Agreement: These Terms constitute the entire agreement between you and UNART regarding your use of the Platform and supersede all prior agreements or understandings.
  2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  3. No Waiver: The failure of UNART to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.
  4. Assignment: You may not assign or transfer these Terms or your account without UNART’s prior written consent. UNART may assign these Terms without your consent.
